Terms of Service

These terms are an agreement between you and Midnight CRM, which operates Midnight CRM. By signing in to the dashboard, installing our bot in a Discord server, or otherwise using the service, you accept them. If you are accepting on behalf of a company or a community you represent, you confirm you have the authority to do so.

Our Privacy Policy forms part of these terms and explains how we handle data.

Midnight CRM is a community management platform for Discord servers. It provides a member directory, audience segments, scheduling, events, polls, modmail, content curation, gamification, analytics, and an automation builder, delivered through a web dashboard and a Discord bot.

We improve the product continuously, so features change. We will not remove a material feature from a paid plan without giving reasonable notice.

• You sign in with Discord, so you must have a Discord account in good standing and comply with the Discord Terms of Service.
• You must be at least 13 years old, or older where your country sets a higher minimum age for Discord.
• You may only connect a server you own or have been authorised by the owner to manage.
• You are responsible for what happens under your account and for the staff you grant dashboard access to.

Installing the bot gives you access to data about real people in your community, and you decide how it is used. In exchange for that access you agree to the following.

• Tell your members that a community management tool is in use and what it records.
• Comply with the Discord Terms of Service, Community Guidelines, and Developer Policy, and with the privacy and data protection laws that apply to your community.
• Only enable the features and data collection you actually need, and restrict dashboard access to staff who need it.
• Pass on or action privacy requests your members send you, and cooperate with us on requests they send us.
• Do not use member data for anything your members would not reasonably expect, and do not export it to sell it or to send unsolicited marketing.
• Use messaging features responsibly. Bulk direct messages, automated posts, and moderation actions are sent under your bot and are your responsibility.

You may not use Midnight CRM to break the law, harass or surveil individuals, scrape or resell Discord data, evade Discord rate limits or moderation, distribute malware or spam, probe or interfere with our infrastructure, reverse engineer the service, or resell access to it without a written agreement with us.

We may suspend an account or remove the bot from a server that breaches this section, and we will tell you why.

On plans that support it you can run Midnight CRM under your own branding by supplying a Discord application you registered yourself. If you do, you own that application and are responsible for its listing, its compliance with Discord policy, and any privileged intent approvals it needs. We store the bot token encrypted and use it only to operate the service for your server. You can revoke it at any time, which stops the deployment.

Your branding does not change who provides the software. These terms and our Privacy Policy continue to apply to the deployment.

• We offer a free plan and paid subscriptions. Current plans and prices are on our pricing page.
• Paid subscriptions are billed in advance through Stripe, monthly or yearly, and renew automatically until cancelled.
• You can cancel at any time from the dashboard. Cancellation takes effect at the end of the period you have paid for, and the account moves to the free plan.
• Payments already made are non-refundable except where the law requires otherwise, or where we have failed to provide the service and cannot put it right.
• We may change prices with at least 30 days notice before they apply to your next renewal.
• If a payment fails we may restrict paid features until it is settled.

The Midnight CRM software, dashboard, and brand are ours, and nothing here transfers ownership of them to you. We grant you a non-exclusive, non-transferable right to use the service while your account is in good standing.

The data from your Discord server, and the content you and your members create, remain yours and your members. You grant us only the permission we need to host, process, and display that content in order to provide the service to you.

Midnight CRM depends on Discord and is not affiliated with, endorsed by, or sponsored by Discord Inc. Discord may change its API, rate limits, or policies at any time, which can affect or interrupt features. We also rely on the providers listed in our Privacy Policy. We are not responsible for outages or changes in third-party services, though we will work to restore service when they occur.

We work to keep Midnight CRM available and accurate, but the service is provided as is and as available, without warranties of any kind to the fullest extent the law allows. We do not warrant that it will be uninterrupted, error free, or that automated moderation will catch everything. Automated moderation is an aid to your staff, not a replacement for them, and you remain responsible for moderation decisions in your community.

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, or consequential damages, or for lost profits, revenue, data, or goodwill. Our total liability arising from the service is limited to the amount you paid us in the twelve months before the claim, or one hundred US dollars if you are on a free plan. Nothing here excludes liability that cannot be excluded by law.

You agree to indemnify us against claims, losses, and reasonable legal costs arising from your use of the service in breach of these terms, from how you handle your community data, or from content you send through the service.

You can stop using Midnight CRM at any time by cancelling your subscription and removing the bot from your server. We may suspend or terminate an account that breaches these terms, that puts the service or other users at risk, or where we are required to by law. If we terminate an account other than for breach, we will refund the unused part of any prepaid period.

When an account closes we delete its data as described in our Privacy Policy. Export anything you want to keep before you close it.

We may update these terms as the product and the law change. The date at the top will change with them, and we will give notice by email before a material change takes effect. Continuing to use the service after that means you accept the new terms.

These terms are governed by the laws of United Kingdom, without regard to its conflict of law rules, and the courts of that jurisdiction have exclusive jurisdiction over disputes arising from them. Nothing here removes a consumer protection you have under the law of the country you live in.
